A few examples of some significant real estate, financing and other commercial projects handled by Mellina & Larson are as follows:

  • Represented national Fortune 500 retailer in the construction and reconstruction of high rise corporate headquarters office complex in Fort Worth, Texas.

  • Represented seller in connection with the sale of one of the largest remaining contiguous tracts of land in Denton County, Texas to major national developer. This tract was not within the corporate limits of any municipality, but was within overlapping extraterritorial jurisdictions of several small, anti-growth municipalities in the immediate vicinity. Water and sewer availability and other infrastructure availability and financing were major development constraints, coupled with platting and potential annexation controls exerted by surrounding municipalities. Creative use of special use districts were used with other strategies to address various issues. The selling party worked closely with the buyer/developer over an eighteen month period to achieve these challenging objectives.

  • Represented major developer of luxury apartment projects with acquisition, equity participation, financing and development of premier developments in upscale planned communities in Bexar, Collin, Denton, Tarrant, Travis and Williamson Counties, Texas. Complex entity structuring was designed to reduce or eliminate Texas franchise taxes and satisfy technical requirements of senior and subordinate lenders. We negotiated the terms of mezzanine and construction lender participation in the projects with some of the largest financial institutions in the nation.

  • Represented developer of low income housing apartment complexes in connection with major projects in Dallas, Harris and Tarrant Counties, Texas. Major national financial institutions were equity participants, involving complex joint venture structuring.

  • Represented premier national art gallery in major expansion and redevelopment of art gallery complex in Dallas, Texas.

  • Represents trust department of large regional bank in connection with various real estate transactions and related matters on an ongoing basis.

  • Represents major international corporation and related subsidiaries in connection with tenant leases for service facilities throughout the United States, including recent multi-million dollar sale-leaseback transaction involving a multi-state portfolio of key facility sites owned by the company.

  • Represents Fortune 200 corporation in connection with construction of expansion phase of corporate campus and in structuring expansion to receive tax deferred exchange treatment.

  • Represents major rail transportation company in connection with rights-of-way, operational facilities, telecommunications leases and other ongoing operational matters, including telecommunications licensing and related matters.

  • Represented prominent automobile dealership in preparation and negotiation of construction contracts and architect agreement for construction of new campus.
